爱点击宣布发行2,000万美元可转债
香港2019年11月12日 /美通社/ — 中国独立在线营销与企业数字化运营解决方案提供商爱点击互动亚洲集团有限公司(纳斯达克代码: ICLK,以下简称“爱点击”或“公司”)今天宣布完成向Marine Central Limited公司出售总规模为2,000万美元于2022年11月11日到期的三年期可转换债券(以下简称“可转债”)。Marine Central Limited此次购买可转债,受到福布斯媒体集团(Forbes Media LLC,旗下拥有《福布斯》杂志等全球顶级商业媒体)的大股东任德章先生(以下简称“任先生”)的支持。此次融资所得将主要用于继续投资公司的企业数字化运营解决方案业务及其他新业务发展。

此次发行的可转债以每年5.0%的利率计息,可转债持有人可选择将其转换为公司的美国存托股份(“ADSs”),每一股美国存托股份代表半股公司普通股。持有人可在12个月锁定期后选择转股,如未发生需要调整价格的情形,转换价格为以下两者中的较低价格:每股4.30美元的固定价格,或为一定期间美国存托股份成交量加权平均价(VWAP)基础上溢价10%。公司也可选择在支付适当回购价后回购该可转债。
前述可转债、债券转换后所得的美国存托股份及其所代表的普通股,尚未根据美国证券法案或任何州的证券法进行登记,且可转让性和转售受限。未经登记或证券法案和其他适用证券法允许的适用登记豁免,不得转让或转售。
